Fring App Studios provides professional software development services, including but not limited to:

• Maintenance and support services

3. Project Engagement

3.1 Project Quotation

All projects begin with a detailed quotation based on your requirements. The quotation includes project scope, timeline, deliverables, and pricing. Quotations are valid for 30 days from the date of issue.

3.2 Project Agreement

Upon acceptance of the quotation, a formal project agreement will be executed outlining:

• Detailed project specifications and requirements
• Project timeline and milestones
• Payment terms and schedule
• Intellectual property rights
• Confidentiality obligations
• Support and maintenance terms

3.3 Changes to Project Scope

Any changes to the agreed project scope must be documented in writing and may result in adjustments to timeline and pricing. We will provide a revised quotation for approval before implementing scope changes.

4. Payment Terms

4.1 Payment Structure

Unless otherwise agreed, our standard payment structure is:

• 30% advance payment upon project commencement
• 40% payment upon completion of development phase
• 30% final payment upon project delivery and acceptance

4.2 Payment Methods

We accept payments via bank transfer, UPI, credit/debit cards, and other mutually agreed methods. All payments are in Indian Rupees (INR) unless otherwise specified.

4.3 Late Payments

Late payments may result in project suspension and may incur interest charges of 2% per month on overdue amounts. We reserve the right to withhold deliverables until full payment is received.

5. Intellectual Property Rights

5.1 Client Ownership

Upon full payment, all custom-developed code, designs, and deliverables created specifically for your project become your property, subject to the following exceptions:

5.2 Company Retained Rights

We retain ownership of:

• Pre-existing code, libraries, and frameworks
• Reusable components and templates
• Development tools and methodologies
• General knowledge and experience gained

5.3 Third-Party Components

Projects may include third-party libraries, frameworks, and services subject to their respective licenses. You are responsible for complying with these licenses.

6. Confidentiality

We maintain strict confidentiality of all client information, project details, and business data. We will not disclose your confidential information to third parties without your explicit consent, except as required by law.

7. Project Timeline and Delivery

7.1 Timeline Estimates

Project timelines are estimates based on the agreed scope and assume timely client feedback and approvals. Delays caused by client-side factors may extend the delivery timeline.

7.2 Testing and Acceptance

You will have a reasonable testing period (typically 7-14 days) to review deliverables and report any issues. Acceptance is deemed complete if no issues are reported within the testing period.

8. Support and Maintenance

8.1 Warranty Period

We provide a 30-day warranty period from project delivery for bug fixes and issues directly related to our development work. This does not cover:

• Issues caused by third-party services or hosting
• Changes or modifications made by you or third parties
• New feature requests or scope changes
• Issues arising from misuse or improper configuration

8.2 Ongoing Support

Post-warranty support and maintenance services are available under separate agreements with defined terms and pricing.

9. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability shall not exceed the total amount paid by you for the specific project
• We are not liable for indirect, incidental, consequential, or punitive damages
• We are not responsible for losses due to third-party service failures, hosting issues, or force majeure events
• We do not guarantee specific business outcomes, revenue, or user adoption

10. Client Responsibilities

You agree to:

• Provide accurate and complete project requirements
• Provide timely feedback and approvals
• Provide necessary access to systems, accounts, and resources
• Ensure you have rights to all content and materials provided
• Comply with all applicable laws and regulations
• Maintain appropriate backups of your data

11. Termination

11.1 Termination by Client

You may terminate the project with written notice. In such cases:

• You remain liable for payment of work completed to date
• Advance payments are non-refundable
• We will deliver work completed up to the termination date

11.2 Termination by Company

We may terminate the project if:

• You breach these Terms or the project agreement
• Payments are overdue by more than 30 days
• You engage in abusive or unprofessional conduct
• The project becomes technically or legally unfeasible

12. Portfolio and Marketing

Unless you explicitly request otherwise, we reserve the right to:

• Display your project in our portfolio
• Use project screenshots and descriptions for marketing
• List you as a client reference

We will respect any confidentiality requirements and can sign NDAs when necessary.

13. Disclaimer of Warranties

Our services are provided "as is" without warranties of any kind, express or implied. We do not warrant that:

• Services will be uninterrupted or error-free
• Results will meet your specific requirements
• All errors will be corrected
• The software will be compatible with all systems

14. Indemnification

You agree to indemnify and hold harmless Fring App Studios from any claims, damages, or expenses arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights
• Content and materials you provide

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall be resolved through:

• Good faith negotiations between parties
• Mediation if negotiations fail
• Arbitration in accordance with Indian Arbitration and Conciliation Act
• Courts of competent jurisdiction in India as a last resort

16. Force Majeure

We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, internet outages, or third-party service failures.

17. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified Terms.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

19. Entire Agreement

These Terms, together with the project agreement and Privacy Policy, constitute the entire agreement between you and Fring App Studios regarding our services.
